1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Monitoristic service, operated by Solvix Studio ("we," "us," or "our"), including our website and all related features (collectively, the "Service"). By creating an account or using the Service in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Service Description

Monitoristic is a website and API monitoring platform that provides the following capabilities:

  • HTTP monitoring for websites, web applications, and API endpoints
  • Automated incident detection and status tracking based on expected response codes
  • Notification delivery through supported channels, including Telegram and webhooks
  • Public and private status pages to communicate service availability to your users

3. Account Terms

By registering for an account, you represent and warrant the following:

  • You are at least 18 years of age or have the legal authority to enter into binding agreements on behalf of your organization.
  • You are responsible for maintaining the security of your account, including keeping your password confidential. You accept responsibility for all activity that occurs under your account.
  • Each account is associated with a single organization. Sharing a single account across multiple organizations is not permitted.
  • You must provide accurate, complete, and current information during registration and keep your account details up to date.

4. Acceptable Use

You agree to use the Service responsibly and in compliance with all applicable laws. Specifically, you agree to the following:

  • You will only monitor websites, APIs, and endpoints that you own or for which you have explicit authorization to monitor.
  • You will not use the Service to conduct distributed denial-of-service (DDoS) attacks, load testing, vulnerability scanning, or any other form of abuse against third-party systems.
  • You will not share your account credentials with unauthorized individuals or allow third parties to access your account without proper authorization.
  • You will not attempt to circumvent plan limits, rate limits, or any other system restrictions imposed by the Service.
  • We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice depending on the severity of the violation.

5. Payment Terms

Access to paid features of the Service is subject to the following payment terms:

  • All prices are denominated in United States Dollars (USD).
  • Subscriptions are billed on a monthly or annual basis, at your election. All payment processing, tax collection, invoicing, and compliance are handled by Paddle, our merchant of record.
  • Paddle acts as the seller of record for all transactions. Your payment relationship is with Paddle, and their terms of service apply to payment processing.
  • We reserve the right to change subscription prices. Any price changes will be communicated with at least 30 days' notice before your next billing renewal date.
  • If a payment fails, we will attempt to collect payment according to our retry schedule. Continued payment failure may result in suspension of your account after a reasonable grace period.

6. Refund Policy

We want you to be satisfied with the Service. Our refund policy is as follows:

  • We offer a 14-day money-back guarantee from the date of your initial subscription purchase. If you are not satisfied, you may request a full refund within this period.
  • Refunds are processed through Paddle and typically appear in your account within 5 to 10 business days, depending on your payment provider.
  • After the 14-day guarantee period, no refunds will be issued for the remaining portion of your current billing period.
  • Plan downgrades take effect at the end of your current billing period. You will retain access to your current plan's features until the period concludes.

7. Service Level

We are committed to providing a reliable monitoring service, subject to the following:

  • We strive to maintain high availability of the Monitoristic platform. However, we do not guarantee a specific uptime percentage or formal Service Level Agreement (SLA) for the monitoring service itself.
  • We may perform scheduled maintenance from time to time. We will provide reasonable advance notice of planned maintenance windows that may affect service availability.
  • We are not liable for service interruptions or degraded performance caused by factors outside our reasonable control, including but not limited to Cloudflare outages, internet backbone disruptions, third-party infrastructure failures, or force majeure events.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal data and monitoring information. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

9. Intellectual Property

All intellectual property rights in the Service are allocated as follows:

  • The Monitoristic service, including its design, source code, documentation, trademarks, and all related materials, are and remain the exclusive property of Solvix Studio and its licensors.
  • Your monitoring data, configuration settings, and any content you upload to the Service remain your property.
  • By using the Service, you grant us a limited, non-exclusive, revocable license to process, store, and transmit your data solely for the purpose of providing and improving the Service.

10. Termination

Either party may end the relationship under the following conditions:

  • You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period.
  • We may terminate or suspend accounts that violate these Terms. Where practicable, we will provide written notice and an opportunity to remedy the violation before termination.
  • Upon termination, your data will be retained for 30 days. After this retention period, all data associated with your account will be permanently and irreversibly deleted.
  • The provisions of Sections 11 (Limitation of Liability) and 12 (Governing Law) shall survive the termination of these Terms.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • In no event shall Solvix Studio, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities.
  • Our total aggregate liability arising out of or related to your use of the Service shall not exceed the total fees paid for your use of the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
  • We are not responsible for any losses, damages, or costs resulting from undetected downtime or performance degradation of your monitored services, regardless of the cause.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.

13. General Provisions

  • Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
  • Entire agreement. These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Solvix Studio regarding the Service and supersede all prior agreements and understandings.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, for example in connection with a merger or acquisition.
  • Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
  • Indemnification. You agree to indemnify and hold harmless Solvix Studio from any claims, damages, or expenses arising from your use of the Service or violation of these Terms, including monitoring endpoints you do not own or have authorization to monitor.
  • Consumer protection. Nothing in these Terms shall limit or exclude any rights you may have under mandatory consumer protection laws in your jurisdiction, including the EU Consumer Rights Directive.

14. Changes to Terms

We may modify these Terms from time to time to reflect changes in our Service, legal requirements, or business practices:

  • We will provide at least 30 days' advance notice of any changes to these Terms via email to the address associated with your account.
  • Material changes will be clearly communicated before they take effect, with a summary of what has changed.
  • Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Service.
